Second new voice, power and volume remote won't pair

Roku just mailed me a second voice remote and this one won't pair.  The first paired and work for a week or two, then died.  This new one with control Roku, but will NOT pair to do voice, on/off, and volume.  I've reset the Roku player and set it up from scratch, but the new remote still will not sync....  it's a "Roku voice remote with TV controls"  SKU#RCAL7R

Help!!

Once remote is paired to control a Roku, programming the remote to control a tv is separate procedure not involving the pairing button. You have to go through the menu:

 

settings> remote & devices> remote> remote in USE> program tv> follow prompts
