it seems then that if someone wants to use an IR remote instead of the bundled remote on the Roku Ultra, most probably one would then loose the possibility to listen on the headphones through the remote, which seems a nice features (but i prefer the WiFi being completely off).

Private listening uses Wi-Fi direct.  There's no way around that.

some (sennheiser) tv-headphones function via IR and the sound can be very good.

I'm sure it is, but unfortunately Rokus don't.

I managed to pair an RCA 4 device remote with my Ultra. Only function that is missing is the options (*) key.

Correction: there’s a button on the remote labeled “info/options” and it works! (Duh)

Does this include the 4K express? I have a LG magic remote that can control IR devices that I’d like to use with it.

Yes, it works with an IR remote and comes with one too.
