I have an upgrade offer. However it refers to upgrading Roku 3. I have 2 devices. One is the Roku 3. The other is a stick (from 2014). If I purchase this upgrade I don't want my Roku 3 deactivated. Will this be an issue?

Whatever you get in this upgrade will have to be linked to your Roku account as an additional unit. I know of no limit on the number of Rokus you can link to one account, but I've had as many as 5 at one time so I know it's at least that high.  

I don't believe linking a new one as a result of an upgrade offer will unlink the Roku 3 on which the offer is based.   But if it does, do a factory reset on it and set it back up from scratch, linking it back to your account.
